1. About The Swink Group

The Swink Group is a virtual assistant placement and operational support company headquartered in Sheridan, Wyoming. We provide business owners and founders with structured VA placement services, operational support consulting, and related business services.

2. Services

The Swink Group provides virtual assistant placement and operational support services as described in your individual Service Agreement. The specific scope, deliverables, hours, and terms of each engagement are defined in the signed Service Agreement between you and The Swink Group.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. Changes to ongoing engagements will be communicated in writing and mutually agreed upon before implementation.

3. Client Responsibilities

To ensure the success of your engagement, you agree to:

• Provide accurate, complete, and timely information required for onboarding and ongoing work
• Participate in the VA Success Setup™ onboarding process in good faith
• Provide necessary tool access, credentials, and resources required for your VA to perform their duties
• Communicate openly and promptly with The Swink Group and your assigned VA
• Pay all fees according to the agreed billing schedule
• Treat all Swink Group team members and VAs with professionalism and respect

4. Payment Terms

Payment terms are governed by your signed Service Agreement and our Billing Policy, which is incorporated herein by reference. A non-refundable deposit of $250 is required upon signing your Service Agreement. Monthly service fees are billed on the date your VA begins working with you, minus the deposit amount already paid.

Failure to make timely payment may result in suspension or termination of services. The Swink Group reserves the right to pursue any unpaid balances through available legal means.

5. Confidentiality

Both parties acknowledge that in the course of an engagement, confidential information may be exchanged. The Swink Group and its team members agree to treat your business information, client data, and proprietary processes with strict confidentiality.

You agree not to solicit, recruit, or directly hire any VA or team member placed or introduced by The Swink Group for a period of twelve (12) months following the termination of your engagement, without prior written consent and payment of a placement fee as determined by The Swink Group.

6. Intellectual Property

All content on The Swink Group website — including text, graphics, logos, and branding — is the property of Jeremy Allen Swink, LLC and may not be reproduced, copied, or distributed without express written permission. Work product created by your VA on your behalf belongs to you upon receipt of full payment for that period.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Jeremy Allen Swink, LLC and The Swink Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, arising out of or in connection with our services.

Our total cumulative liability for any claim arising from or related to these Terms or your engagement shall not exceed the total fees paid by you to The Swink Group in the three (3) months preceding the claim.

8. Termination

Either party may terminate an engagement with written notice as specified in your Service Agreement. Upon termination, all outstanding fees for work completed are immediately due and payable.

The Swink Group reserves the right to immediately terminate services in cases of non-payment, breach of these Terms, abusive conduct toward our team members, or any other material breach of your Service Agreement.

9. Governing Law & Dispute Resolution

These Terms and Conditions are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If resolution cannot be reached through negotiation, disputes shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted to our website with an updated effective date. Continued use of our services following any changes constitutes your acceptance of the revised Terms.
